Education and Biography
TRAINING
Loredana qualified in June 2000, after obtaining an Honours Degree in Law from Bucharest University. She attended several international law courses in the US, Washington D.C. (US law), in France, Paris Bar Association (French law) and in Italy, Rome (private international law), and at the Academy of European Law (European Law).

Advising a French company active in the renewable energy field, in their projects in Romania by creating a joint venture with a Romanian developer, establishing their SPV’s projects, advising during the development of the projects and legally structuring the sale process by drafting and negotiating the transaction documents (MOU, SPA, BGL)
RESTRUCTURING/ MERGERS AND SPIN-OFF
Advising an international group in restructuring their activities in Romania (15 subsidiaries, branches) by carrying out the legal due diligence process and finding the appropriate solutions, as well as by performing all the related operations (mergers, spin-off, assignment)
DAY-TO-DAY LEGAL COMMERCIAL MATTERS
Loredana advises multinational companies and their Romanian subsidiaries in their day-to-day legal business operations by providing general commercial advice on different business legal matters and commercial contracts, being also a skilled negotiator of commercial contracts and settlement disputes prioritizing good and rapid settlement of disputes.
CONTRACTS
Advising a subsidiary of a multinational company in agriculture field on all their contracts (equipment acquisition and installation contracts, design and construction projects, utilities and connections agreement, etc.), related to the construction of a seed facility, as well as in relation with their business (authorization process, guarantees, procedures to follow in the Covid context, sale and acquisition contracts, suppliers contracts, transport contracts, etc.)
PUBLIC PROCUREMENT
Advising for more than 10 years several Romanian subsidiaries of an important group in the road and railway infrastructure in their public procurement procedures for the construction of national and county roads, railways, trams, metros. Providing advice on the legality of the tender documentation, the legal ways to act against illegal acts / actions of the contracting authority or in relation with such authority, as well as during the litigation proceedings regarding the public procurement procedures, the performance of the awarded contracts.
REAL ESTATE
Advising one of the biggest logistic and transport French company in land acquisition and obtaining the related utilities for several logistic warehouse projects in Romania (due diligence process, drafting and negotiation of the presale, sale contracts and guarantees) for all their logistic projects in Romania
TAX LITIGATION - MANAGEMENT OF INTRA-GROUP SERVICES
Successful representation of the subsidiary of a large French group in the tax appeal regarding intra-group services
DISPUTE RESOLUTION CORPORATE / LOI / SPA EXECUTION
Successful representation of a client in a complex litigation regarding the execution of an LOI and the payment of damages for non-compliance with the obligation to buy. Successful representation in a litigation regarding the payment of the variable price established under a SPA
TAX LITIGATION - TRANSFER PRICING, THIN CAPITALIZATION AND VAT
